Anthony Walker, Partner and Head of English Law Practice, and Alexander Geda, Counsel and Head of Financial Practice at Rybalkin, Gortsunyan, Dyakin & Partners Law Firm (RGD), held a seminar for clients of RGD International Central Asia. The event was dedicated to the latest trends in corporate and financial law.
The seminar gathered over 40 representatives - heads of legal departments of major companies in Uzbekistan, as well as Russian companies with representative offices and production facilities in the country.
During the seminar, Anthony Walker delivered a presentation on disputes in mergers and acquisitions (M&A). He emphasized the unique characteristics of such disputes, highlighting the nuances associated with each stage of the transaction and outlining their key distinctions from disputes in other contexts. Anthony also shared insights about the latest trends in M&A disputes and offered practical advice on employing risk mitigation tools.
In addition, Anthony Walker discussed the principles of good faith for joint ventures under English law. He demonstrated how the differences between Civil and English contract law governing joint ventures necessitate the inclusion of additional good faith clauses. Anthony also provided recommendations, drawing from the practical experience of adoption and application of such clauses.
In his talk, Alexander Geda focused on the practical aspects of prepayment financing mechanisms emerging in Russia and the CIS, highlighting their key advantages. He discussed the latest trends in the structure of prepayment financing, including the gradual shift away from English law towards legislation in related jurisdictions that are more favorable to Russia. Alexander also addressed various nuances and considerations arising from sanctions and the increasingly complex structure of transactions.
