RGD Partner Gives Comments to Forbes

Konstantin Mineev, Partner of Corporate Practice at Rybalkin, Gortsunyan, Dyakin and Partners law firm (RGD), gave comments to Forbes for an article on the offer for exchanging shares of the Dutch Yandex N.V. for shares of the Russian Yandex.


According to recent media reports, some investors have expressed concern about the fairness of the approach to exchanging shares, and are considering filing lawsuits against the consortium of buyers of Yandex N.V.'s Russian assets. Konstantin Mineev believes that the terms of redemption and exchange are all-in-all nothing extraordinary for the secondary securities market, as the owner of assets is free to choose groups and categories of persons whom they are comfortable making deals with.


In recent years, many Russian companies registered abroad to repatriate by either re-registering or dividing their business. “We have been extensively advising on issues related to redomiciliation, sale of business, stock repurchase and exchange,” said Konstantin. “In such cases, we adhere strictly to the letter of the law, striving to maintain a balance and consider the interests of all parties involved, thereby minimizing risks,” he said.
