On September 26, 2024, Moscow hosted the XVI Russian Private Equity Congress and the XII Venture Investor Forum. Organized by Cbonds-Congress and PREQVECA, the event brings together the venture ecosystem community, real-economy companies, family offices, investment banks, and leading legal and consulting firms.
Konstantin Mineev, Partner of Corporate Practice and Equity Capital Markets Practice at Rybalkin, Gortsunyan, Dyakin and Partners (RGD), moderated the panel session titled "From Startup to IPO: Structuring Private Deals in the Pre-IPO Stage." The session also featured participants from investment banks, including Pavel Okhonin from Kama Flow, and representatives from public issuers, such as Ivan Shkabarnya from Iva PJSC, Dmitry Markelov from HeadHunter, and Valeria Boguslavskaya from Cian.
Session participants discussed the most effective strategies and approaches to attracting financing at various stages of business growth: how to properly build a capital structure on the eve of going public, choose the optimal conditions for M&A transactions, develop a strategy for private transactions of the future issuer and correctly assess the company before placing its securities on public markets. In addition, the participants talked about a consortium of investors and syndicated pre-IPO transactions that allow companies to flexibly raise capital and increase the positive effect of going public.
"We are now witnessing growth of private equity and venture investment in Russia. It is important to note that today the focus is not only on successful deals but also on strategic issues such as deal structuring, optimization of the legal and tax aspects, and risk management at all stages of the investment process. There are quite a few questions in the industry, and at the session, we tried to answer some of them.," said Konstantin Mineev after the event.
