RGP represents the shareholders of the Uchi.ru educational platform in connection with the sale of a strategic stake to Mail.Ru Group and a consortium of investors formed by RDIF and RCIF
The corporate practice team of Rybalkin, Gortsunyan & Partners is advising on a series of transactions pursuant to which Mail.ru Group is acquiring a 25% stake in the Uchi.ru educational platform with an option to increase it to a controlling interest, and the Russian Direct Investment Fund and Russia-China Investment Fund are acquiring a minority stake in Uchi.ru. The value of the transaction is in excess of RUB 3.75 billion.


The work on this project is led by RGP Managing partner and Head of Corporate practice, Suren Gortsunyan, and the project team includes partner Oleg Isaev, associates Marina Abazyan and Daniil Ivanov, and junior associate Danil Karimov. The project team’s work includes advising the client on the sale of a stake in the company that owns the Uchi.ru educational platform to a group of investors, including advice on various issues relating to the negotiation and execution of share purchase agreements and a shareholders’ agreement.

Uchi.ru is a resident of the IT cluster of the Skolkovo Innovation Center, one of the largest online platforms in Russia for school and independent learning. According to information provided by the company, the service is used by approximately half of the school children in Russia – over 8 million students and over 350 thousand teachers. The platform produces educational content for year 1 to year 11 students on all major subjects. In addition, it allows students to study coding and target-setting, prepare for school exams and take part in academic competitions. The company also develops projects for foreign markets: HappyNumbers.com, Bricsmath.com and Dragonlearn.org. They already operate in the United States and Canada, and pilot programmes have also been launched in India, China, Brazil, South Africa, Indonesia and Vietnam. Revenues of Uchi.ru in 2020 are expected to be in the region of RUB 3 billion – almost three times more than last year.
