Gayane Nadzharova is a partner at RGD's Dispute Resolution practice and a Co-Head of Reputation Recovery Practice. Gayane focuses on resolving cross-border disputes and consulting on international matters, as well as on cases relating to the protection of honor, dignity, and recovery of business reputation.


Background


Prior to joining RGD, Gayane worked at Akin, Gump, Strauss, Hauer & Feld for more than 11 years as a lawyer and a counsel consequently. Gayane's earlier career was spent on general corporate matters, as well as mergers and acquisitions, antimonopoly, real estate and employment issues and Gayane has advised clients in various industries on private equity transactions, establishment of joint-ventures and corporate restructuring. She is also experienced in preparing amendments and proposals for a number of legislations, including amendments to Part I of the Civil Code of the Russian Federation and the Federal Law "On Joint Stock Companies".

DISPUTE RESOLUTION


  • Representing a private client in a high-profile criminal investigations in an EU member state, in the course of which unprecedented in scale and media coverage investigative actions were successfully challenged and declared unlawful

  • Representing a private client in administrative proceedings in an EU member state against the claims of the agency responsible for the enforcement of sanctions, which included challenging a series of large-scale and high-profile searches aimed at seizure of assets blocked subject to sanctions

  • Representing PJSC Tatneft in US$380 million English litigation proceedings and a freezing injunction application in the High Court against four Ukrainian oligarchs – Messrs. Igor Kolomoysky, Gennady Bogolyubov, Pavel Ovcharenko and Alexander Yaroslavsky – in relation to huge and complex alleged cross-border fraudulent activities

  • Representing a private client in the mutual agreement procedure under a Double Taxation Treaty between the Russian Federation and an EU member state in connection with tax claims totaling more than half a billion euros



Reputation recovery


  • Providing comprehensive advice and legal representation to a private client in matters related to the protection of honor, dignity, and business reputation and general PR matters in a number of jurisdictions. Providing strategic guidance, coordinating foreign advocates/consultants outside of Russia (including the UK, Germany, Italy, Netherlands, France, Croatia, and etc.), and completing legal preparation for disputes concerning the protection of the client’s honor, dignity, and business reputation in foreign jurisdictions (with positive outcomes, including injunctions against foreign media in the client’s favor; signed cease-and-desist declarations, etc.). Developing comprehensive PR strategy, which included legal advice to the client and the client’s PR department, handling media relations, and preparing requests to publish responses and rebuttals

  • Providing legal support to the PR department of a major Russian investment holding company, handling relations with the media, filing requests to publish responses and rebuttals, managing claims, and representing the company in legal proceedings, including those in foreign jurisdictions



MERGERS AND ACQUISITIONS






  • Advising the purchaser on a number of issues in connection with the acquisition of shares in, and the receivables from, the EUROCEMENT Group, as well as in connection with various matters of financing of transaction worth over $2 billion

  • Representing Sanors Holding Ltd on the 100% sale of JSC Novokuibyshevskaya Petrochemical Company to OJSC Rosneft

  • Representing Baring Vostok on the proposed 35% stake investment in a leading retail pharmaceutical product business

  • Representing Millhouse, a major asset management company, on its acquisition of the 120,000square metre White Gardens office complex in central Moscow from a consortium of vendors

  • Representing Russia's largest private business group as a member of a major consortium, in relation to the US$28 billion sale of the consortium’s stake in TNK-BP to Rosneft , billed as M&A Deal of the Year, Russia by the American Lawyer Global Legal Award, 2013

  • Representing Russia's largest private business group in a sophisticated transaction (including internal funding, swap and collateral agreements) relating to the US$800 million acquisition of shares in major Russian electricity producers TGK-6 and TKG-7, with the Russian state-run electricity generation giant Inter RAO UES as the deal counterparty

  • Representing AFK Sistema and Bashneft in connection with the establishment of a rail joint venture

  • Representing Coalco Development on the sale of a 50% interest in the White Square Class A office and retail complex in central Moscow for $400 million

  • Representing a US-based investor in the formation of a joint venture to operate a pay-day loan business in Russia and subsequently representing the existing shareholders of the joint venture in the sale of a 33% stake to a new strategic investor

  • Representing shareholders of a large Russian strong alcohol producer in a structured sale of their majority equity stake to a major international alcohol producer

  • Representing UFG Private Equity in connection with its acquisition of one of the largest Russian cinema operators, Rising Star Media, from National Amusements Inc
