Marina Smirnova

Marina Smirnova is a senior associate at RGD’s Finance Practice. Marina has extensive experience in advising banks, syndicates, and other clients operating in international and domestic markets on banking and finance matters, which includes project financings, financings for Russian major state-owned companies, ECA-backed financings, and pre-export financings.


Professional Experience


Prior to joining RGD, Marina worked at international law firms Dentons, Morgan Lewis and Gide Loyrette Nouel and at State Development Corporation VEB.RF. Marina has assisted with structuring transactions for diverse projects, as well as arranging a variety of secured financings (financings secured by inventory pledge, mortgage of immovable assets, assignment of grain export contracts; bank account direct debit arrangements; insurance assignment, etc.). Marina’s project finance experience includes representing banks (including banks for development) in connection with financings for Russian major state-owned and private companies involved in various infrastructure projects and construction projects.

Landmark engagement experience


  • Advising UniCredit on a seven-year CHF 585 million sustainability-linked credit facility to Russian Railways, the leading railway company in Russia and the first ESG borrower in the Russian transport sector

  • Advising a group of companies, the world’s leading mineral fertilizer producer, in connection with its corporate restructuring project including the amendments to the group’s existing credit portfolio provided under both Russian and foreign law bilateral and syndicated financings

  • Advising Tav Havalimanlari Holding AS (TAV Airports), Istanbul-based airport construction and operations company, on the project financing for the development of key infrastructure at Almaty International Airport. The financing was provided by EBRD, IFC, EDB and DEG and totalled US$450 million

  • Advising ING Bank N.V. as coordinator and documentation agent on the execution of PJSC Acron’s, Russian major mineral fertilizer producer, amendment agreement to extend its up to US$750 million syndicated structured pre-export finance facility

  • Advising the Founder and Chairman of global investment firm Finstar Financial Group on the acquisition of 99.56% of St. Petersburg’s PJSC BANK SIAB (Bank SIAB)

  • Advising EXIMBANK and EXIAR on debt restructuring of several major Cuban financial institutions

  • Advising VSMPO-AVISMA Corporation on an up to US$400 million term loan facility agreement arranged by Crédit Agricole Corporate and Investment Bank, Banca Intesa, Intesa Sanpaolo Bank Luxembourg S.A., Societe Generale and UniCredit S.p.A.

  • Advising a syndicate of Gazprombank, VTB and Eurasian Development Bank in relation to the project financing of the Western High Speed Diameter toll road in St Petersburg

  • Advising a commercial real estate company on the financial part of due diligence report for the trade centre acquisition

  • Advising UniCredit on a US$50 million sustainability-linked loan to PJSC SIBUR Holding, the largest integrated petrochemicals company in Russia and one of the fastest-growing companies in the global petrochemicals industry

  • Acting for a syndicate of banks arranged by UniCredit S.p.A in connection with a facility for JSC Siberian Anthracite

  • Advising Black Sea Trade and Development Bank on an US$40 million loan to JSC GTLK for financing the payments for the construction of two expedition cruise ships

  • Acting for a leading German finance company in connection with a financing secured by local moveable assets and lease receivables as security under an intra-group loan to fund the borrower’s local leasing business

  • Advising Black Sea Trade and Development Bank on a US$23 million loan to JSC GTLK for the purposes of financing purchase and installation of coal handling equipment for Lavna Commercial Port in Murmansk Region, Russia

  • Advising various lenders, including responsAbility Investments AG and Blue Orchard on the non-judicial restructuring of indebtedness of a microfinance organisation operating in Nicaragua

  • Acting for a major US leasing company in connection with its first railcars’ leasing transaction in Russia, including drafting and negotiation of the key transaction documents on the supply and lease of railcars

  • Acting for US Ex-Im Bank in connection with a US$ 53 million financing of VTB Leasing for buying equipment subject to further pledge in favour of US Ex-Im Bank

  • Acting for VTB Bank in connection with a US$ 2.5 billion financing of the acquisition of 21.75% shares in JSC Uralkali by Onexim Group
