Regina Abdulgafarova

Regina Abdulgafarova is an associate at RGD’s Finance Practice. Regina’s practice focuses on banking and finance transactions, including trade finance, prepayment finance, acquisition finance, as well as M&A, joint ventures, current legal support of business, capital markets and foreign investments.

Regina also has extensive experience in conducting legal due diligence in mergers and acquisitions and audits of counterparties, as well as advising on corporate governance and corporate law issues.


Prior to joining RGD, Regina worked at major Russian law firms, as well as at the Moscow office of Cleary Gottlieb Steen & Hamilton. She was involved in supporting corporate procedures of Russian public and non-public companies, M&A transactions (share deal/asset deal) and M&A transactions. Regina has experience of legal support of large infrastructure projects implemented in the form of joint ventures (preparation of corporate agreements, internal documents of project companies, etc.) and due diligence of groups of companies operating in various fields.

  • Advising a major Russian railroad transportation company in connection with the issuance of CHF 200 million worth of perpetual green Eurobonds on the SWX exchange

  • Advising seven major Russian companies in various industries (banking, fashion and retail, paper production, road construction, pharmaceuticals, DIY, etc.) in connection with their planned IPOs

  • Advising one of the world leaders in production and sale of industrial gases in connection with the sale of a Russian business under the "management buy-out" type

  • Due diligence of a group of 30 companies in connection with the contemplated sale of a Russian business to a leading producer and supplier of thermal and electric energy in the Urals and Western Siberia

  • Advising Russian direct investment fund in connection with structuring and support of the acquisition of control over a group of companies of one of the largest manufacturers of pulp and paper products in Russia (preparation of transaction documents, communication with registrars, notaries, etc.)

  • Advising one of the world's largest investment banks, in connection with the acquisition of a minority interest in the holding company of VoiceTech, a Russian company creating virtual operators in the field of voice artificial intelligence

  • Advising an international investment sovereign fund in connection with its planned investment in the business of Russia's largest private railroad operator

  • Advising an international investment fund in connection with the acquisition of a minority stake in a major Russian oil and gas chemical company

  • Advising a private equity fund in connection with its proposed investment in an international information processing and text recognition company (in the Russian part of the transaction)
